Review status. Version 1.1 of these Terms was prepared on September 11, 2026 and is pending review by MoonDAO's counsel before DePrize opens to the public. MoonDAO may update this document before or at launch. The version number and dates shown above identify the text that applies to you.
Read this first. DePrize is a real-money prediction market. Outcome tokens can become worthless. MoonDAO is the market maker, the fee recipient, the oracle that reports results, and the sponsor of the prize. DePrize is not available to U.S. persons or to anyone located in a Restricted Jurisdiction (Schedule A). Resolution is final and cannot be reversed. If a DePrize is cancelled or ends with no winner, every outcome token redeems for an equal share (1/N) of the market's collateral — not for what you paid. The 5% prize contribution taken from every bet is not refundable through the market.
1. Introduction and Acceptance
1.1 What these Terms cover. These DePrize Terms and Conditions (these "Terms") govern your access to and use of DePrize (the "Service"), a prediction-market and prize-competition feature operated by MoonDAO DAO LLC, a Republic of the Marshall Islands decentralized autonomous organization limited liability company doing business as MoonDAO ("MoonDAO," "we," "our," or "us"). The Service includes the DePrize pages on moondao.com and related MoonDAO web properties (the "Site"), the DePrize smart contracts described in Section 4, and the tools MoonDAO provides for interacting with them.
1.2 Relationship to MoonDAO's other legal documents. These Terms are a supplemental agreement that is incorporated into, and forms part of, the MoonDAO Website Terms and Conditions (the "Agreement"). The MoonDAO Website Privacy Policy, the DePrize Privacy Notice, and the DePrize Risk Disclosures and Disclaimers are also incorporated by reference. Capitalized terms not defined in these Terms have the meanings given in the Agreement (including "Applicable Law," "Covered Parties," and "MoonDAO™ Offerings"). The DePrize Official Prize Rules (the "Prize Rules") govern the competitors' side of each DePrize and the award of any prize; they are referenced here for context and bind competitors and prize claimants, not bettors as such.
1.3 Precedence. If these Terms conflict with the Agreement, these Terms control solely with respect to the DePrize-specific subject matter they address. If these Terms conflict with the published rules of a specific DePrize (its "DePrize Rules," described in Section 7.1), the DePrize Rules control as to the matters they specifically address (the roster, the Resolution Event, resolution criteria, timing, and market parameters). In all other respects the Agreement governs.
1.4 How you accept. You accept these Terms by doing any of the following: (a) checking the acceptance box presented on the Site before placing a bet; (b) placing a bet, selling ("cashing out") a position, or redeeming a position through any DePrize smart contract, whether through the Site or directly; or (c) otherwise accessing or using the Service. Each time you place a bet you re-confirm the representations in Section 3. If you do not agree to these Terms, do not use the Service.
1.5 Versions. MoonDAO identifies each version of these Terms by version number and date. The version in effect when you place a bet governs that bet, subject to Section 18. MoonDAO may require you to accept a new version before you place further bets.
1.6 Electronic agreement. You agree that your acceptance under Section 1.4 is a valid electronic signature and that these Terms, and any records of your acceptance that MoonDAO keeps, are enforceable electronic records.
2. Definitions
"Collateral" means the ETH (wrapped to WETH) held by a Market against Outcome Tokens.
"Competitor" means an organization or team listed as a named outcome of a DePrize, whether or not it has consented to the listing.
"Conditional Token Framework" or "CTF" means the Gnosis Conditional Tokens smart contracts on which Outcome Tokens are issued.
"DePrize" means a single prize competition and its associated Market(s), identified on the Site by name and numeric identifier.
"DePrize Rules" has the meaning given in Section 7.1.
"Eligibility Review Committee" or "ERC" means the committee constituted under MoonDAO governance to review evidence of whether the Resolution Event has occurred and which entrant achieved it.
"Equal-Payout Resolution" has the meaning given in Section 8.2.
"Generation" means a numbered edition of a DePrize's Market with its own roster, CTF condition, and Market, as described in Section 6.4.
"Insider" has the meaning given in Section 9.2.
"Market" means the automated-market-maker contract (an LMSR market on the CTF) through which Outcome Tokens for a Generation are bought and sold.
"Open Field" means the outcome slot described in Section 6.3.
"Oracle" means the MoonDAO-controlled multi-signature account designated at Market creation as the address permitted to report the result of the Market's CTF condition.
"Outcome Token" means an ERC-1155 conditional token on the CTF representing a claim on Collateral if a specified outcome is reported.
"Prize", "Prize Pool", and "Prize-Eligible Winner" have the meanings given in the Prize Rules. In summary, the Prize Pool is the Juicebox/Launchpad project balance funded by campaign contributions, the 5% prize contribution described in Section 10, and Market fees while a DePrize is live; the Prize is the amount disbursed from the Prize Pool to a Prize-Eligible Winner.
"Project Token" means the governance token, if any, issued by the Launchpad project bound to a DePrize. Each DePrize is bound to one Launchpad mission, identified on-chain by that DePrize's Juicebox project id, and the Project Token is that mission's own token — so which token you receive depends on the DePrize you bet in, and it is not a DePrize-wide or MoonDAO-wide token. For DePrize #1, whose bound mission is the Overview Effect Flight, the Project Token is $OVERVIEW. The bet flow displays the applicable token before you confirm.
"Refund-Terminal State" means a DePrize that has been Cancelled or has ended with No Winner Declared, in each case before any winner has been reported to the CTF.
"Resolution Event" means the objectively described real-world event, published in the DePrize Rules, whose occurrence determines which outcome of a Market is reported as the winner.
"Restricted Jurisdiction" means any country, territory, or region listed in Schedule A, and any other jurisdiction MoonDAO designates on the Site from time to time.
"Senate" means the MoonDAO governance body of vMOONEY holders that votes on the result of a DePrize under MoonDAO's governance procedures.
"U.S. Person" means (a) any natural person resident in the United States of America, its territories or possessions (the "United States"); (b) any entity organized under the laws of, or having its principal place of business in, the United States; (c) any trust or estate of which a U.S. resident is a trustee or executor; and (d) any person acting for the account or benefit of a person described in (a)–(c). A person who is physically located in the United States when accessing the Service is treated as a U.S. Person for that use.
3. Eligibility, Restricted Jurisdictions, and Your Representations
3.1 Age and capacity. The Service is available only to natural persons who are at least eighteen (18) years of age (or the age of majority in their jurisdiction, if greater) and who can form legally binding contracts under Applicable Law, and to entities acting through such persons, consistent with Section 1 of the Agreement.
3.2 U.S. Persons excluded. The Service is not offered to, and may not be used by, U.S. Persons. Outcome Tokens are not listed on any exchange registered with the U.S. Commodity Futures Trading Commission, and MoonDAO is not registered with any U.S. federal or state financial or gaming regulator. If you are a U.S. Person, you may not place a bet, buy or sell Outcome Tokens, or otherwise transact through the Service, whether through the Site, through a third-party interface, or by interacting with the smart contracts directly.
3.3 Restricted Jurisdictions. The Service is not offered to, and may not be used by, any person located in, resident of, or organized under the laws of a Restricted Jurisdiction. Schedule A lists the Restricted Jurisdictions as of the Effective Date. MoonDAO may add jurisdictions at any time by updating Schedule A or by notice on the Site; additions apply immediately to new bets. MoonDAO may use IP geolocation, device signals, wallet analysis, and other information to enforce this Section and may block, suspend, or refuse any transaction or account without notice.
3.4 Sanctions. You may not use the Service if you are (a) a person or entity listed on, or owned 50% or more by persons listed on, the U.S. Treasury Department's Specially Designated Nationals and Blocked Persons List or any other sanctions list maintained by the United States, the United Nations, the United Kingdom, or the European Union; (b) located in or ordinarily resident in a jurisdiction subject to comprehensive sanctions; or (c) otherwise the target of sanctions that would prohibit MoonDAO from dealing with you. MoonDAO may screen wallet addresses and may refuse, freeze at the interface level, or report activity as required by law.
3.5 No circumvention. You may not use a virtual private network, proxy, Tor exit, or other method to misrepresent your location or identity for the purpose of accessing the Service from the United States or a Restricted Jurisdiction, and you may not assist anyone else in doing so. A location-preserving privacy relay that continues to report your actual country (for example Apple iCloud Private Relay) is not, by itself, a violation of this Section.
3.6 Insiders. You may not use the Service if you are an Insider (Section 9.2) with respect to the DePrize you are transacting in.
3.7 Your representations, repeated with every bet. Each time you access the Service and each time you place a bet, sell, or redeem, you represent and warrant that: (a) you meet the age and capacity requirements in Section 3.1; (b) you are not a resident of the United States and you are not currently located in the United States or any of its territories; (c) you are not acting for or on behalf of any entity organized in, or with its principal place of business in, the United States; (d) you are not a U.S. Person as defined in Section 2; (e) you are not located in, resident of, or organized under the laws of a Restricted Jurisdiction; (f) you are not a sanctioned person under Section 3.4; (g) you are not an Insider and you are not placing the transaction on behalf of anyone else; (h) you are not using a service to misrepresent your location; (i) your participation is lawful in every jurisdiction that applies to you; and (j) the funds you use were lawfully obtained.
3.8 Your responsibility for local law. Prediction markets, betting on future events, and dealing in crypto assets are regulated or prohibited in many places. Consistent with Section 14 of the Agreement, determining whether your participation is lawful where you are is your sole responsibility, and MoonDAO is not responsible if Applicable Law restricts or prohibits your access. MoonDAO makes no representation that the Service is appropriate or lawful in any particular jurisdiction outside the exclusions in this Section 3.
3.9 Consequences of misrepresentation. If any representation in this Section 3 is or becomes untrue, you must stop using the Service immediately. MoonDAO may refuse service, cancel or reverse off-chain records, decline to act on your behalf, exclude you from future DePrizes, and take any other action available under these Terms or Applicable Law. On-chain transactions that have already been confirmed cannot be reversed by MoonDAO (Section 7.3), and you remain bound by these Terms with respect to them.
4. What DePrize Is
4.1 A non-custodial, on-chain prediction market. For each DePrize, you may buy and sell Outcome Tokens representing the competing outcomes (the listed Competitors and, where applicable, the Open Field). Prices are set by an automated market maker and reflect the aggregate positions of participants; prices are not a promise, forecast, guarantee, or advice, and they are not MoonDAO's opinion of any outcome's likelihood.
4.2 Non-custodial. MoonDAO does not take custody of the funds you trade with. Collateral and Outcome Tokens are held by smart contracts and by your own wallet, secured by your own private keys. All bets, positions, resolutions, and redemptions are recorded on a public blockchain (currently Arbitrum One) and are publicly visible and permanent.
4.3 Collateral and mechanics. Bets are denominated in ETH, wrapped to WETH inside the contracts. When you place a bet through the DePrize bet router, approximately 5% of the ETH you send is paid to the Prize Pool as a prize contribution (Section 10) and approximately 95% is used to buy Outcome Tokens from the Market at the then-current price, less the Market fee (Section 11). While a Market is open you may sell Outcome Tokens back to it at the then-current price ("cash out").
4.4 How Outcome Tokens pay. For a Market with N outcomes:

4.5 Not an investment. Outcome Tokens are instruments for expressing a view on a specified event. They are not shares, debt, deposits, or investment products; they carry no ownership, dividend, interest, or governance right; and MoonDAO makes no representation that they will hold or gain value. You may lose the entire amount you put into any position.
4.6 Third-party technology. The Service relies on the CTF, an LMSR market-maker implementation, the Arbitrum network, wallet software, RPC providers, and other third-party technology that MoonDAO does not control. Section 22 of the Agreement (Third-Party Websites) applies.
5. MoonDAO's Roles and Conflicts of Interest
MoonDAO performs several roles in every DePrize. You acknowledge each of them and agree that MoonDAO owes you no duty to avoid the conflicts they create.
5.1 Operator. MoonDAO designs each DePrize, selects the roster (Section 6), publishes the DePrize Rules, operates the Site, and deploys and administers the DePrize smart contracts.
5.2 Market maker and counterparty. MoonDAO's treasury funds the liquidity of each Market. The market maker is the counterparty to every purchase and sale. When participants in aggregate profit, MoonDAO's treasury bears the corresponding loss (up to a bounded maximum), and when participants in aggregate lose, MoonDAO's treasury gains. MoonDAO therefore has a financial interest in the outcome of every Market.
5.3 Fee recipient. The Market charges a fee (Section 11.1). While a DePrize is live, the fee is routed to the Prize Pool; once a DePrize reaches a terminal state, accrued fees are routed to the MoonDAO treasury.
5.4 Oracle and judge. The result of each Market is reported on-chain by the Oracle, a MoonDAO-controlled multi-signature account, following the governance process in Section 7.2 (ERC review, Senate vote, challenge window). The Senate is composed of MoonDAO governance-token holders, some of whom may have financial or other interests in a DePrize, in a Competitor, or in the Launchpad campaign that funds the Prize Pool. MoonDAO's conflict-of-interest and recusal policy is published in the Prize Rules.
5.5 Administrative keys and upgrades. Some DePrize contracts are upgradeable or have owner-controlled parameters (for example, the DePrize registry that records lifecycle states and cancellation notices). Those powers are held by MoonDAO-controlled accounts. MoonDAO will not use them to alter the Resolution Event, roster, or resolution of a Market that has opened for betting, except to correct a manifest technical error disclosed on the Site, and will give public notice on the Site before any upgrade that affects a live Market. You acknowledge that these powers exist and that their compromise or misuse is a risk you accept under Section 14.
5.6 Prize sponsor and Launchpad relationship. MoonDAO sponsors the Prize, administers the Prize Pool, and is the owner of the bound Launchpad project. The Launchpad campaign has its own organizers and beneficiaries (for DePrize #1, the Overview Effect campaign and its Organizing Entity), who may participate in MoonDAO governance.
5.7 No fiduciary, advisory, or agency relationship. MoonDAO is not your broker, dealer, adviser, fiduciary, or agent. MoonDAO's roles above are performed for MoonDAO's own account and for the DePrize program, not on your behalf.
6. Competitors, Open Field, Generations, and No Endorsement
6.1 Rosters are editorial. Competitors are named at MoonDAO's editorial discretion based on publicly available information about who is credibly pursuing the capability at issue. Being listed does not mean the Competitor has entered, registered for, agreed to participate in, endorsed, sponsored, or is affiliated or partnered with MoonDAO or the DePrize in any way. No Competitor is obligated to do anything by being listed.
6.2 Names and marks. Competitor names are used only to identify the subject of an outcome (nominative use) and remain the property of their owners. Logos and brand styling appear only for Competitors that have claimed their listing under the Prize Rules; unclaimed Competitors are shown with a neutral placeholder. Your bet is on an outcome — whether that Competitor achieves the Resolution Event first, as determined under Section 7 — and not on any affiliation, partnership, or endorsement.
6.3 Open Field. Some Markets include an Open Field outcome: a position that an entrant not listed among the named Competitors achieves the Resolution Event first. The objective qualification criteria for the Open Field are published in the DePrize Rules. If the Senate determines that an unlisted entrant achieved the Resolution Event, the Market resolves to the Open Field outcome. Backing the Open Field is a bet on an unnamed class of entrants, not on a specific organization, and you accept that uncertainty. There is no tradable "nobody wins" outcome; if no entrant achieves the Resolution Event, the DePrize resolves under Section 8.
6.4 Generations. A long-running DePrize may proceed in Generations, each with its own roster, CTF condition, and Market. When a Generation is superseded: (a) new bets on it close; (b) you may still sell your position back to its Market at the prevailing price; (c) positions are neither refunded nor re-priced; and (d) the superseded Market still resolves when the DePrize resolves, to the same real-world result as the live Generation, from its own Collateral. Prices in a superseded Market may diverge from the live Generation's odds; treat them as an exit quote only. The Prize Pool and Project Token are shared across Generations and accumulate until a Prize is paid or the DePrize reaches a Refund-Terminal State.
6.5 Roster changes. A live Generation's outcome set cannot be edited. A Competitor that is verifiably ineligible or has ceased pursuing the capability may be omitted from the next Generation's roster. A Competitor may ask MoonDAO to correct, rebrand, or omit its listing from future Generations using the contact in Section 20; MoonDAO will consider such requests in good faith but has no obligation to grant them, and no such request affects a live Market.
6.6 Government and public bodies. Rosters may include government space agencies or other public bodies where they are credibly pursuing the capability. Such listings are for market-resolution purposes only. Whether any such body may accept a Prize is governed by the Prize Rules and does not affect how the Market resolves (Section 7.4).
7. DePrize Rules, Resolution, and Finality
7.1 Published DePrize Rules. Before a Market opens for betting, MoonDAO publishes on that DePrize's page the DePrize Rules, which specify at least: the roster (and whether an Open Field outcome exists); the Resolution Event in objective terms, including what counts as achieving it and which public sources are authoritative; the deadline, if any, by which the Resolution Event must occur; the resolution procedure and challenge window; the cancellation and no-winner provisions; and the Market parameters (fee, liquidity, sunset). The DePrize Rules — not headlines, marketing copy, social posts, or team names — govern how a Market resolves. You are responsible for reading them before you bet.
7.2 Resolution process. When MoonDAO believes the Resolution Event may have occurred, or the deadline has passed, the following process applies unless the DePrize Rules provide otherwise: (a) the ERC reviews the available evidence and publishes a non-binding memorandum; (b) the Senate votes to declare a winner (a named Competitor or the Open Field) or to declare No Winner; (c) MoonDAO publishes the Senate result on the Site and opens a challenge window of not less than seventy-two (72) hours during which any person may submit evidence that the result is inconsistent with the DePrize Rules; (d) if a material challenge is received, the Senate may re-vote; and (e) the Oracle reports the final result to the CTF. The Senate's determination under the DePrize Rules is final and binding on all participants, subject only to Section 17.
7.3 Finality and permissionless redemption. The on-chain report of a result is irreversible. Once the Oracle has reported, the result cannot be changed, reversed, or refunded by MoonDAO, by you, or by anyone else, even if the report is later shown to be mistaken. After the report, redemption is permissionless: you (or anyone acting on your wallet's behalf) may redeem Outcome Tokens directly against the CTF or through MoonDAO's redemption helper. MoonDAO has no obligation to redeem for you or to remind you to redeem, and unredeemed positions remain claimable only for as long as the underlying contracts permit.
7.4 The Market and the Prize are separate. The Market resolves solely on the Resolution Event. Whether the winning Competitor (or Open Field entrant) is eligible to receive, claims, or is actually paid the Prize is governed by the Prize Rules and does not affect your Outcome Tokens. In particular: (a) if the winner is not a Prize-Eligible Winner (for example because it declines the Prize, cannot be verified, is a public body that cannot accept it, or is a sanctioned person), Outcome Tokens for that outcome still pay as winning tokens; and (b) the disposition of an unawarded Prize Pool is governed by the Prize Rules and creates no claim for bettors.
7.5 Milestones do not delay bettors. Bettor redemptions are available once the Oracle reports a winner. The Prize is paid to the Prize-Eligible Winner in milestone tranches under the Prize Rules; a later failure of the winner to complete a milestone does not re-open or alter the Market's resolution.
7.6 Errors and suspensions. MoonDAO may pause new bets on the Site (but cannot pause the smart contracts unless the DePrize Rules or contract design so provides) if it identifies a material error in the Site, prices, or DePrize Rules, an exploit, or a legal requirement. MoonDAO will describe any such pause on the Site.
8. Cancellation, No Winner, and Equal-Payout Resolution
8.1 Refund-Terminal States. A DePrize may be Cancelled by MoonDAO before a winner is reported (for example, because the capability becomes impossible, illegal, or moot, because of a material defect in the contracts or Rules, or because Applicable Law requires it), or may end with No Winner Declared because the deadline passed or the Senate so determined. Cancellation requires a public notice period of at least seven (7) days, recorded on-chain, during which new bets are closed and you may sell your position.
8.2 Equal-Payout Resolution. In any Refund-Terminal State the Oracle reports an equal payout for every outcome, so every Outcome Token — whichever outcome you backed — redeems for 1/N of a unit of Collateral (N = the number of outcomes in that Market). This is the standard mechanism used by non-custodial prediction markets to void a market.
8.3 What this means for you — read carefully.
- Equal-Payout Resolution is based on the Outcome Tokens you hold, not on the ETH you paid. It is not a return of your stake.
- The break-even price is 1/N. A position bought above 1/N (a favorite) will redeem for less than it cost; a position bought below 1/N (an underdog) may redeem for more. Example (N = 3, 1/N ≈ 33%): a token bought at 86% redeems for about 33% of its purchase price; a token bought at 3% redeems for roughly eleven times its purchase price.
- Only Outcome Tokens you still hold at resolution redeem. Positions you cashed out earlier are unaffected.
- The 5% prize contribution and Market fees are not returned by Equal-Payout Resolution (see Section 10 for the Project Token's separate mechanism).
8.4 ETH only; no top-ups. Redemptions are made in ETH (unwrapped from WETH) regardless of how you funded your bet. Gas is your responsibility. No fiat refunds are issued, and MoonDAO is not responsible for changes in the value of ETH between your bet and your redemption. You accept Equal-Payout Resolution as the exclusive remedy for a Refund-Terminal State. MoonDAO does not guarantee return of principal and has no obligation to top up, backstop, or supplement the on-chain payout.
9. Market Integrity, Insiders, and Prohibited Conduct
9.1 Prohibited conduct. In addition to Section 12 of the Agreement, you agree not to: (a) place bets while in possession of material non-public information about the Resolution Event or a Competitor's progress; (b) manipulate or attempt to manipulate prices, including by wash trading, spoofing, coordinated trading, or exploiting Market or Site defects; (c) attempt to influence the ERC, the Senate, the Oracle signers, or any Competitor with respect to the Resolution Event, other than through public evidence submitted under Section 7.2; (d) interfere with, sabotage, or attempt to affect any Competitor's real-world efforts; (e) use bots or automation to circumvent Site controls, rate limits, caps, or eligibility checks; (f) structure transactions to evade caps, screening, or reporting; (g) use the Service to launder money or finance unlawful activity; or (h) use the Service in violation of Section 3.
9.2 Insiders. An "Insider" is any person who, with respect to a DePrize: (a) is a member of the ERC, a signer of the Oracle, or a MoonDAO contributor, contractor, or officer involved in administering that DePrize; (b) is a member of the Senate who intends to vote, or votes, on that DePrize's result; (c) is an officer, director, employee, contractor, adviser, or significant investor of a Competitor or of a Launchpad campaign bound to the DePrize, or a member of the immediate household of such a person; or (d) otherwise possesses material non-public information about the Resolution Event. Insiders may not buy, sell, or hold Outcome Tokens in that DePrize, directly or through others. MoonDAO publishes its insider and conflict-of-interest policy in the Prize Rules and may maintain a non-public list of Insiders for enforcement.
9.3 Remedies. If MoonDAO reasonably believes you have breached this Section 9, it may, without limiting other remedies: exclude your wallet(s) from the Site; refuse to act for you; treat any Prize claim connected with you as forfeited under the Prize Rules; publish the fact and nature of the breach; and report the conduct to authorities. Because the smart contracts are permissionless, MoonDAO may not be able to reverse or block on-chain transactions, and you agree that its inability to do so does not excuse your breach or create liability for MoonDAO.
9.4 Reporting. Report suspected manipulation, insider trading, or other misconduct to the contact in Section 20.
10. The 5% Prize Contribution and the Project Token
10.1 Prize contribution. Approximately 5% of every bet is paid to the Prize Pool of the DePrize's bound Launchpad project. This amount is a non-refundable contribution toward the Prize. It is not part of your Outcome Token position, is not held in the Market, and is not returned by Equal-Payout Resolution. It is not a charitable donation and is not tax-deductible.
10.2 Project Token. Where the bound Launchpad project issues a Project Token, the project's rules may mint Project Tokens to you in respect of your contribution, at the rate then in effect for the project (which may be substantially lower than the rate at which earlier campaign contributors received tokens). The token, the issuance rate, and the terms attaching to it are the bound mission's, not DePrize's, and they differ between DePrizes; you should read the bound campaign's terms rather than assuming they match another DePrize. The Project Token is governed by the Launchpad campaign's own terms (for DePrize #1, the Overview Effect Flight Terms and Conditions). Consistent with those terms, the Project Token is issued for governance participation, carries no expectation of profit, and is not offered as an investment. Any right to redeem Project Tokens against the Prize Pool (a Launchpad "cash out") exists only if and when the campaign's rules enable it — for DePrize #1, only in a Refund-Terminal State or after a failure of the Prize's second milestone — and is subject to the campaign's fees and mechanics, not to these Terms.
10.3 Regulatory status. Whether a Project Token is a security or other regulated instrument depends on the laws that apply to you. MoonDAO does not offer Project Tokens to U.S. Persons or in Restricted Jurisdictions. Nothing in these Terms is a representation about the Project Token's regulatory status in any jurisdiction, and you should not place a bet because of the Project Token.
11. Fees, Slippage, Gas, Limits, and Responsible Participation
11.1 Market fee. The Market charges a fee (currently approximately 1%) on the traded portion of each purchase and sale. It is embedded in the price and is not refundable.
11.2 Slippage. Because prices are set by an automated market maker, larger orders move the price; the average price you pay or receive can differ from the displayed price. Displayed odds, payouts, and multiples are estimates and may change between quote and execution.
11.3 Gas. All on-chain actions require network fees paid by you and never recovered.
11.4 Limits. MoonDAO may impose and change per-transaction, per-wallet, or per-Market limits, and may decline to display or facilitate transactions that exceed them.
11.5 Responsible participation. Bet only what you can afford to lose. If you would like MoonDAO to exclude your wallet from the Site, or you are concerned about your participation, contact us (Section 20) and we will action a self-exclusion request. MoonDAO's provision of these resources is not an admission that the Service constitutes gambling in any jurisdiction.
12. Privacy and On-Chain Transparency
MoonDAO's collection and use of personal data in connection with the Service are described in the DePrize Privacy Notice and the Website Privacy Policy. You acknowledge that: (a) your wallet address, bets, positions, cash-outs, and redemptions are recorded on a public blockchain, are visible to anyone, and cannot be deleted or made private; (b) MoonDAO may associate your wallet address with other information you provide (such as a login email through our authentication provider) and with your approximate location derived from your IP address, for eligibility screening and compliance; (c) MoonDAO may retain records of your acceptance of these Terms, your eligibility representations, and your transactions for as long as required for legal and compliance purposes; and (d) MoonDAO may share such information with service providers, regulators, or law enforcement where required or permitted by law.
13. Taxes
You are solely responsible for determining and paying any taxes arising from your use of the Service, including on gains from Outcome Tokens, redemptions, and any Project Tokens you receive. MoonDAO does not withhold taxes or issue tax forms to bettors, does not provide tax advice, and makes no representation about the tax treatment of any transaction in any jurisdiction. Consistent with Section 18(d) of the Agreement, you will indemnify the Covered Parties against any claim that MoonDAO owes taxes in connection with your use of the Service.
14. Assumption of Risk
You acknowledge and accept all risks of using blockchain systems and the Service, including without limitation: total loss of the amounts you commit; volatility in the value of ETH between bet and redemption; smart-contract bugs, exploits, or design flaws in the DePrize contracts, the CTF, the market maker, or their dependencies, even where audited; compromise or misuse of administrative keys; Oracle error, delay, or disagreement about whether the Resolution Event occurred; Equal-Payout Resolution producing a loss on your position; the absence of any appeal from an on-chain report; network congestion, failed or front-run transactions, and RPC outages; loss or compromise of your wallet or private keys; actions by third parties (including Competitors) that affect the Resolution Event; changes in law or regulatory action that restrict or terminate the Service or your ability to redeem; and MoonDAO's conflicts of interest described in Section 5. These risks supplement the disclosures in Section 19 of the Agreement and in the DePrize Risk Disclosures and Disclaimers.
15. No Advice; No Warranty as to Information
Nothing on the Site or in these Terms is investment, financial, legal, tax, or gambling advice or a recommendation to take any position. Prices, odds, "chance to win," payout estimates, prize-pool values (including fiat equivalents), Competitor descriptions, and progress updates are provided for information only, may be inaccurate, incomplete, or out of date, and are not warranted. You are solely responsible for evaluating each DePrize and its Rules. The Service is provided "as is" and "as available."
16. Disclaimer of Warranties, Limitation of Liability, and Indemnification
The following provisions of the Agreement are incorporated by reference and apply to your use of the Service to the same extent as if restated here, including with respect to losses arising from Market resolution, Equal-Payout Resolution, Oracle action or inaction, fees, slippage, smart-contract behavior, the Prize, the Prize Pool, Project Tokens, Competitors, or MoonDAO's roles described in Section 5:
- Disclaimer of Warranties — Agreement, Section 19;
- Limitation of Liability — Agreement, Section 20, including the aggregate liability cap;
- Indemnification — Agreement, Section 18, for the benefit of the Covered Parties, which for the Service also include the members of the ERC, the Senate, the Oracle signers, and the Launchpad campaign organizers acting in those capacities.
To the fullest extent permitted by Applicable Law, you release the Covered Parties from all claims arising from (a) any Competitor's conduct, statements, success, or failure; (b) the listing or non-listing of any Competitor; (c) any determination by the ERC, the Senate, or the Oracle made in good faith under the DePrize Rules; and (d) any action MoonDAO takes under Sections 3, 7.6, 9, or 18.
17. Dispute Resolution
17.1 Incorporation. The Dispute Resolution Provisions in Section 25 of the Agreement apply to any dispute arising out of or relating to the Service, these Terms, any DePrize, or any Outcome Token, including: governing law of the State of New York (without regard to conflict-of-law principles); binding arbitration before the American Arbitration Association in New York, NY; the class-action waiver; and the thirty (30) day opt-out right. California users retain the rights described in Section 26 of the Agreement.
17.2 Informal resolution first. Before commencing arbitration you agree to submit an Initial Dispute Notice as described in Section 25 of the Agreement and to negotiate in good faith for thirty (30) days.
17.3 Resolution disputes. A challenge to whether a Market was correctly resolved must be raised through the challenge window in Section 7.2. You agree that the Senate's determination under the DePrize Rules, once reported by the Oracle, is final, and that an arbitrator may not order the reversal of an on-chain report or the re-resolution of a Market, and may award only monetary relief subject to Section 16.
17.4 Injunctive relief. Either party may seek temporary or preliminary injunctive relief in a court of competent jurisdiction to protect intellectual property or to prevent a breach of Section 9.
18. Changes, Suspension, and Termination
18.1 Changes to these Terms. MoonDAO may amend these Terms from time to time in accordance with Section 2 of the Agreement. Amended Terms will be posted with a new version number and Last Updated date and communicated through MoonDAO's official channels. Your continued use of the Service after the amendment takes effect constitutes acceptance. Amendments do not (a) retroactively alter the DePrize Rules of a Market you have already bet on, which continue to govern that Market's resolution; (b) alter the Dispute Resolution Provisions with respect to disputes that arose before the amendment; or (c) alter fees for transactions already executed.
18.2 Changes to Schedule A and eligibility. MoonDAO may add Restricted Jurisdictions or eligibility requirements at any time with immediate effect for new bets. If you become ineligible, you may still cash out or redeem existing positions to the extent Applicable Law permits.
18.3 Suspension and termination. MoonDAO may suspend or terminate your access to the Site or Service at any time for breach of these Terms, for legal or regulatory reasons, or as described in Section 1 of the Agreement. Termination does not affect confirmed on-chain transactions or your ability to redeem directly against the CTF.
18.4 Discontinuation. MoonDAO may discontinue the Service or any DePrize, subject to Section 8 for live Markets.
19. General Provisions
19.1 Entire agreement. These Terms, together with the Agreement, the Privacy Policy, the DePrize Privacy Notice, the DePrize Risk Disclosures and Disclaimers, and the applicable DePrize Rules, are the entire agreement between you and MoonDAO regarding the Service and supersede any prior understandings.
19.2 Severability; no waiver; assignment. Section 27 of the Agreement applies. You may not assign these Terms; MoonDAO may assign them to a successor of the DePrize program on notice.
19.3 Force majeure. MoonDAO is not liable for delay or failure caused by events beyond its reasonable control, including blockchain network failures, third-party service outages, cyberattacks, changes in law, or regulatory action.
19.4 No relationship. Nothing in these Terms creates an employment, agency, partnership, joint-venture, or fiduciary relationship between you and MoonDAO, or makes you a member of MoonDAO DAO LLC.
19.5 Records. MoonDAO's electronic records of your acceptance, eligibility representations, and Site activity, together with the public blockchain record, are presumptively accurate evidence of your use of the Service.
19.6 Trademarks. "MoonDAO," "$MOONEY," and "Moonlist" are trademarks of LuckDAO Limited d/b/a MoonDAO. Competitor names and marks belong to their respective owners.
19.7 Survival. Sections 3.7–3.9, 5, 7.3–7.5, 8, 9, 10, 12–17, and 19 survive any termination.
19.8 Language. These Terms are drafted in English. Any translation is for convenience only; the English text controls.

21. Acknowledgment
By using DePrize you acknowledge and agree that:
- You have read, understood, and agree to these Terms, the Agreement, the Privacy Policy, the DePrize Privacy Notice, and the DePrize Risk Disclosures and Disclaimers.
- You are not a U.S. Person, are not located in the United States or a Restricted Jurisdiction, are not a sanctioned person, and are not an Insider — and you re-confirm this every time you bet.
- Outcome Tokens are not investments. If the outcome you back does not win, your position becomes worthless and you may lose everything you put in.
- If a DePrize is Cancelled or ends with No Winner, every Outcome Token redeems for 1/N in ETH — not your original stake — and a bet placed above 1/N may redeem for less than you paid.
- MoonDAO is the market maker, fee recipient, Oracle, and Prize sponsor, and has financial interests in every Market.
- Resolution is final and irreversible; redemption is permissionless; whether the Prize is paid does not affect your Outcome Tokens.
- The 5% prize contribution is non-refundable through the Market; any Project Token you receive is governed by the Launchpad campaign's terms.
- You are solely responsible for the legality of your participation and for your taxes.
- Refunds and redemptions are in ETH; gas is your responsibility; no fiat refunds.
Schedule A — Restricted Jurisdictions
As of the Effective Date, the Service is not available to persons located in, resident of, or organized under the laws of the following jurisdictions. MoonDAO may amend this Schedule at any time under Section 18.2.
A. United States of America, including all states, the District of Columbia, and all territories and possessions (see Section 3.2 for the U.S. Person exclusion, which applies regardless of location).
B. Comprehensively sanctioned jurisdictions and regions: Cuba; Iran; North Korea (DPRK); Syria; the Crimea, Donetsk, Luhansk, Kherson, and Zaporizhzhia regions of Ukraine.
C. Jurisdictions subject to extensive sanctions or elevated risk: Russia; Belarus; Afghanistan; Myanmar (Burma); Venezuela; Yemen; Libya; Somalia; South Sudan; Sudan; the Democratic Republic of the Congo; Central African Republic; Mali; Iraq; Lebanon; Nicaragua; Zimbabwe.
D. Jurisdictions whose regulators have stated that prediction markets or event contracts are licensed betting or regulated derivatives, or that block such services: United Kingdom; Ireland; Australia; New Zealand; Singapore; Canada (all provinces and territories); France; Spain; Portugal; Italy; Germany; Netherlands; Belgium; Poland; Czech Republic.
E. European Union, European Economic Area, and United Kingdom (data protection). Independently of the above, MoonDAO does not offer the Service to persons in any member state of the European Union or the European Economic Area, or in the United Kingdom, Gibraltar, Jersey, Guernsey, or the Isle of Man.
F. Jurisdictions where online betting or dealing in crypto assets is generally prohibited or requires a local licence that MoonDAO does not hold: People's Republic of China (including the Hong Kong and Macau Special Administrative Regions); Japan; South Korea; Taiwan; India; Pakistan; Bangladesh; Indonesia; Malaysia; Thailand; Vietnam; Philippines; Turkey; United Arab Emirates; Saudi Arabia; Qatar; Kuwait; Brazil.
Where a jurisdiction appears in more than one category, every listed basis applies. The absence of a jurisdiction from this Schedule is not a representation that the Service is lawful there; Section 3.8 applies. MoonDAO reviews this Schedule with counsel before each DePrize opens and at least quarterly.
