Review status. Version 1.0 of these Rules was prepared on September 10, 2026 and is pending review by MoonDAO's counsel before DePrize opens to the public. MoonDAO may update this document before or at launch. The version number and dates shown above identify the text that applies.

Who these Rules are for. These Rules govern the competition side of DePrize: how a team becomes eligible to receive a DePrize prize, how the winner is determined, and how the prize is paid. If you are a bettor, the DePrize Terms and Conditions (the "Terms") govern your participation; the market's resolution is described there and summarized in Section 5 below. NO PURCHASE, PAYMENT, OR BET IS NECESSARY TO COMPETE FOR OR WIN A DEPRIZE PRIZE. Placing a bet does not make you a competitor and does not improve any competitor's chance of winning.


1. Introduction and Acceptance

1.1 The program. DePrize is a prize program organized by MoonDAO DAO LLC, a Republic of the Marshall Islands decentralized autonomous organization limited liability company doing business as MoonDAO ("MoonDAO"). For each DePrize, MoonDAO publishes a capability to be achieved (for example, a specific class of spaceflight or lunar-surface milestone), lists organizations credibly pursuing it, operates a prediction market on which listed organization will achieve it first, and offers a prize (the "Prize") funded from a pool described in Section 6 to the organization that achieves it and satisfies these Rules.

1.2 Acceptance. These Rules, together with the DePrize-specific rules published on each DePrize's page (the "DePrize Rules"), the Prize Acceptance Agreement described in Section 9.3, and the MoonDAO Website Terms and Conditions (the "Agreement"), form the entire terms on which a Prize is offered. By claiming a listing, submitting evidence, submitting a Prize claim, or accepting any portion of a Prize, you (the "Entrant") accept these Rules on your own behalf and on behalf of the organization you represent, and you represent that you are authorized to do so. No organization is bound by these Rules merely by being listed (Section 3).

1.3 Relationship to the Agreement. Under Section 27(b) of the Agreement, these Rules are "Contest Rules" and control over the Agreement with respect to the matters they address. Capitalized terms not defined here have the meanings in the Terms or the Agreement.


2. Definitions

"Claim Window" means the period specified in Section 9.1 within which a Winner must submit a Prize claim.

"Competitor" means an organization listed as a named outcome of a DePrize, whether or not it has claimed its listing.

"Eligibility Review Committee" or "ERC" means the committee described in Section 7.2.

"Entrant" means a Competitor or Open Field participant that has claimed a listing, submitted evidence, or submitted a Prize claim.

"Milestone 1" and "Milestone 2" have the meanings given in Section 9.4 as specified in the DePrize Rules.

"Open Field" means the outcome slot for an entrant not named on the roster, as described in Section 3.4.

"Oracle" means the MoonDAO-controlled multi-signature account that reports the market result on-chain.

"Prize-Eligible Winner" means a Winner that satisfies every requirement of Section 4 and Section 9.

"Prize Pool" means the balance of the Juicebox/Launchpad project bound to a DePrize, as described in Section 6.

"Resolution Event" means the objectively described real-world event, published in the DePrize Rules, whose achievement determines the Winner.

"Restricted Jurisdiction" and "U.S. Person" have the meanings given in the Terms.

"Senate" means the MoonDAO governance body of vMOONEY holders.

"Winner" means the Competitor or Open Field entrant that the Senate determines achieved the Resolution Event under Section 7, as reported by the Oracle.


3. Rosters, Listing, and No Endorsement

3.1 Editorial listing. MoonDAO lists Competitors at its editorial discretion based on publicly available information. Listing does not require, and does not imply, the Competitor's consent, entry, registration, participation, endorsement, sponsorship, partnership, or affiliation with MoonDAO or DePrize. A listed Competitor has no obligation of any kind by virtue of being listed.

3.2 Names and marks. Competitor names are used only to identify the subject of an outcome. Logos and brand styling are displayed only for Competitors that have claimed their listing under Section 3.3; unclaimed Competitors are displayed with a neutral placeholder. MoonDAO will not describe any Competitor as having "entered," "joined," "partnered with," or "endorsed" DePrize unless the Competitor has claimed its listing and agreed to that description.

3.3 Claiming a listing. An authorized representative of a Competitor may claim its listing by contacting MoonDAO (Section 16) and completing MoonDAO's verification. Claiming a listing allows the Competitor to (a) display its approved marks, (b) designate a point of contact and a payout address, (c) submit evidence directly to the ERC, and (d) receive notices under these Rules. Claiming a listing is not required to be determined the Winner, but it is required, together with Section 9, to be paid.

3.4 Open Field. Where a DePrize includes an Open Field outcome, an organization not named on the roster may be determined the Winner if it achieves the Resolution Event and meets the objective Open Field qualification criteria published in the DePrize Rules. An Open Field Winner must claim under Section 9 like any other Winner.

3.5 Corrections and removal. A Competitor may ask MoonDAO to correct its listing, or to omit it from future generations of a DePrize's roster. MoonDAO will consider such requests in good faith. Because a live market's outcome set cannot be edited (Terms, Section 6.5), MoonDAO cannot remove a Competitor from a market that has opened for betting; it can omit the Competitor from the next generation.

3.6 Government and public bodies. Public bodies may be listed as Competitors for market-resolution purposes. A public body that achieves the Resolution Event will be determined the Winner, but may be unable to accept a Prize; Section 9.7 applies.


4. Eligibility to Receive a Prize

A Winner is a Prize-Eligible Winner only if, at the time of each Prize payment, it satisfies all of the following (and any additional conditions in the DePrize Rules, such as a price or budget threshold):

4.1 Legal existence and authority. The Winner is a legal entity (or, if the DePrize Rules permit individuals, a natural person of at least eighteen (18) years of age) in good standing under the laws of its jurisdiction, acting through a duly authorized representative.

4.2 Jurisdiction. The Winner is not organized under the laws of, headquartered in, or controlled from a jurisdiction to which MoonDAO is prohibited from making payments under Applicable Law, including comprehensively sanctioned jurisdictions. The Restricted Jurisdictions schedule in the Terms governs bettors; it does not by itself disqualify a Competitor, except for the sanctioned jurisdictions in categories B and C of that schedule. A U.S. Person may be a Winner and receive a Prize, subject to Section 10.

4.3 Sanctions and screening. Neither the Winner nor any of its directors, officers, or beneficial owners of 25% or more is a person (a) listed on, or owned 50% or more by persons listed on, the U.S. Specially Designated Nationals and Blocked Persons List or any other applicable sanctions list; (b) on the U.S. Commerce Department Entity List or Military End-User List where payment would be restricted; or (c) otherwise the target of sanctions or restrictions that would make payment unlawful for MoonDAO or its service providers.

4.4 Lawful achievement. The Winner achieved the Resolution Event in compliance with Applicable Law, including launch, export-control, and safety licensing requirements of the jurisdictions involved. MoonDAO may rely on public regulatory records and the Winner's certification.

4.5 Verification and documentation. The Winner has completed the verification, sanctions screening, and tax documentation in Section 10 and has executed the Prize Acceptance Agreement in Section 9.3.

4.6 Not disqualified. The Winner has not been disqualified under Section 12.

4.7 Additional DePrize-specific conditions. The DePrize Rules may impose objective additional conditions (for example, that the Winner's publicly quoted price for the deliverable does not exceed the Prize Pool at a specified time, or that a specified deliverable be provided to MoonDAO). Such conditions are part of eligibility for the Prize and are published before the market opens.


5. The Market and the Prize Are Separate

5.1 The market resolves on the Resolution Event. The DePrize prediction market (the "Market") resolves to the outcome whose entrant the Senate determines achieved the Resolution Event, regardless of whether that entrant is a Prize-Eligible Winner. Bettors are paid or not paid on that basis under the Terms.

5.2 The Prize is paid only to a Prize-Eligible Winner. Determination as Winner creates no entitlement to the Prize unless and until every condition in Sections 4 and 9 is satisfied.

5.3 No claim by bettors on the Prize Pool. Bettors have no interest in or claim to the Prize Pool. The disposition of an unawarded Prize Pool is governed by Section 9.7.

5.4 No influence. Nothing an Entrant does in the Market (including placing bets, which Entrants and their insiders are prohibited from doing under Section 8) affects its eligibility to be determined the Winner, and no bettor's position affects the determination.


6. The Prize Pool

6.1 Sources. The Prize Pool is the balance of the Juicebox/Launchpad project bound to the DePrize, funded by (a) contributions made directly to that Launchpad campaign under its own terms; (b) a prize contribution of approximately 5% of every bet placed in the Market; and (c) Market fees routed to the Prize Pool while the DePrize is live. MoonDAO may, but is not obliged to, add treasury funds.

6.2 Variable amount; ETH denomination. The Prize Pool is held in ETH and fluctuates continuously with contributions, betting activity, and the market price of ETH. Any fiat-currency figure shown on the Site is an approximate conversion at the time displayed and is not a commitment. MoonDAO does not guarantee any minimum Prize amount.

6.3 Amount of the Prize. Unless the DePrize Rules provide otherwise, the Prize is the Prize Pool balance at the time the Oracle reports the Winner, less any amounts the DePrize Rules reserve (for example, campaign-specific costs disclosed in the bound Launchpad campaign's terms). The Prize is paid in ETH (or another crypto asset the Prize Acceptance Agreement specifies) to the Winner's designated wallet. No cash or fiat alternative is offered.

6.4 Accumulation across generations. Where a DePrize proceeds in generations (Terms, Section 6.4), the Prize Pool carries over and accumulates until a Prize is paid or the DePrize is cancelled or ends with no Winner.

6.5 Not charitable. MoonDAO is not a charity. Contributions to the Prize Pool are not tax-deductible, and the Prize is not a grant, gift, or charitable award.


7. Determination of the Winner

7.1 Published criteria. Before the Market opens, MoonDAO publishes the DePrize Rules, which specify at least: the Resolution Event in objective terms (what must be demonstrated, to what standard, and which public sources are authoritative); any deadline; the Open Field criteria, if any; any additional Prize-eligibility conditions under Section 4.7; the Milestone 1 and Milestone 2 definitions; and the resolution timetable. Where practicable, MoonDAO also publishes the DePrize Rules to a content-addressed store (such as IPFS) and references the hash on-chain or in the Senate proposal so that the criteria cannot be altered after betting opens.

7.2 Eligibility Review Committee. MoonDAO governance appoints an ERC of persons with relevant technical expertise (for spaceflight DePrizes, for example, astronauts and aerospace engineers). ERC members disclose commercial relationships with any Competitor at appointment and on any change, and recuse themselves from reviewing a Competitor with which they have a material relationship. The ERC reviews evidence — including evidence submitted by Entrants under Section 7.3 and public records — and publishes a non-binding written memorandum stating whether, in its view, each candidate Winner satisfied the Resolution Event and the objective criteria.

7.3 Evidence. Entrants may submit evidence to the ERC through the channel in Section 16 or as specified in the DePrize Rules. Evidence must be truthful and complete; submitting false or misleading evidence is grounds for disqualification (Section 12). MoonDAO and the ERC may rely on public records (regulatory filings, telemetry, independent tracking, credible press) without any Entrant's submission.

7.4 Senate determination. After publication of the ERC memorandum, the Senate votes to (a) determine a Winner (a named Competitor or the Open Field), or (b) determine that no Winner has achieved the Resolution Event (with the consequence in the Terms, Section 8). The Senate applies the published criteria; it does not exercise discretion to prefer one Competitor over another for reasons outside the DePrize Rules.

7.5 Challenge window. MoonDAO publishes the Senate result and opens a challenge window of at least seventy-two (72) hours, during which any person may submit evidence that the result is inconsistent with the DePrize Rules. If a material challenge is received, the Senate may re-vote. After the challenge window closes, the Oracle reports the result on-chain.

7.6 Finality. The Oracle's on-chain report is irreversible. The Senate's determination, once reported, is final and binding on all Entrants, subject only to Section 14. Determination as Winner is a determination that the Resolution Event was achieved; it is not a certification of safety, quality, or regulatory compliance and may not be represented as such.

7.7 MoonDAO's roles. Entrants acknowledge that MoonDAO operates the Market, provides its liquidity, receives Market fees, controls the Oracle, sponsors the Prize, and owns the bound Launchpad project, and that MoonDAO's governance participants may hold positions or interests as disclosed under Section 8. Entrants agree that these roles do not give rise to any duty to any Entrant beyond applying the published criteria in good faith.


8. Conflicts of Interest and Insiders

8.1 Insider prohibition. The Terms (Section 9.2) prohibit Insiders — including every Entrant's officers, directors, employees, contractors, advisers, significant investors, and their immediate households — from buying, selling, or holding outcome tokens in the DePrize. Each Entrant agrees to instruct its personnel accordingly and to certify compliance in its Prize claim. Breach by an Entrant's personnel is grounds for disqualification of the Entrant if the Entrant knew or should have known of it, and in any event for forfeiture of the individuals' positions to the extent MoonDAO can effect it.

8.2 Senate and ERC disclosures. Senators who vote on a DePrize's result and ERC members must disclose, before the vote or review, any (a) position in the Market, (b) financial interest in a Competitor or in the bound Launchpad campaign, and (c) other relationship that a reasonable person would consider capable of influencing their judgment. Persons with a material financial interest in a Competitor recuse themselves from the ERC review of that Competitor and are expected to abstain from the Senate vote. MoonDAO publishes the disclosures and recusals with the Senate result.

8.3 Launchpad campaign organizers. Where the bound Launchpad campaign has organizers or beneficiaries who participate in MoonDAO governance (for example, an Organizing Entity that receives the deliverable the Prize funds), MoonDAO discloses this in the DePrize Rules, and such persons abstain from Senate votes on the DePrize's result.

8.4 Trading blackout for MoonDAO administrators. MoonDAO contributors who administer a DePrize, and Oracle signers, may not hold positions in its Market.

8.5 Reporting. Suspected breaches of this Section 8 may be reported under Section 16. MoonDAO may publish findings.


9. Claiming and Payment of the Prize

9.1 Claim Window. A Winner must submit a Prize claim to MoonDAO within ninety (90) days after the Oracle reports the result (or a longer period stated in the DePrize Rules). MoonDAO will notify a Winner that has claimed its listing at its designated contact; for other Winners, MoonDAO will make reasonable efforts to notify through public channels, but the Claim Window runs from the on-chain report regardless of notice.

9.2 Claim contents. A claim must include: the Winner's legal name, jurisdiction of organization, and registered address; the name and authority of its representative; a certification of compliance with Section 8.1; the verification and tax documents in Section 10; and the payout wallet address (which MoonDAO records on-chain in the DePrize registry).

9.3 Prize Acceptance Agreement. Before any payment, the Winner must execute MoonDAO's Prize Acceptance Agreement, which will restate these Rules and include: the Winner's representations of eligibility and compliance; the Milestone 2 deliverable and deadline; publicity and use-of-name permissions under Section 11; a clawback right for fraud or misrepresentation; sanctions and anti-corruption undertakings; and the dispute-resolution terms in Section 14. MoonDAO will not negotiate terms that would alter the published criteria or the amount of the Prize.

9.4 Milestone payments. Unless the DePrize Rules provide otherwise, the Prize is paid in two tranches:

Payments are made by MoonDAO's multi-signature account from the Prize Pool to the recorded payout address. Network fees are borne by the Prize.

9.5 Milestone 2 deadline. Milestone 2 must be completed within eighteen (18) months after the Milestone 1 payment, extendable once by up to six (6) months at MoonDAO's discretion for documented cause. If Milestone 2 is not completed by the deadline, the 70% tranche is forfeited and returned to the Prize Pool (bound Launchpad project) for disposition under that project's rules; the Winner retains the Milestone 1 payment unless clawed back under Section 12.

9.6 Withholding and set-off. MoonDAO may withhold any payment while a sanctions, verification, tax, or disqualification question is open, and may withhold amounts required by law.

9.7 No Prize-Eligible Winner. If the Winner does not claim within the Claim Window, cannot or does not satisfy Sections 4, 9.2, 9.3, or 10, declines the Prize, or is a public body or other person to which MoonDAO cannot lawfully or practicably make payment, then no Prize is paid for that DePrize. The Market's resolution is unaffected. Unless the DePrize Rules provide otherwise, the Prize Pool is retained in the bound Launchpad project and either (a) carried forward as the Prize Pool of a successor DePrize or generation designated by MoonDAO governance within one hundred eighty (180) days, or (b) made available for return to the Launchpad campaign's contributors under that campaign's own refund mechanism. Bettors have no claim on the Prize Pool in either case.

9.8 Multiple achievers. If more than one entrant achieves the Resolution Event, the DePrize Rules' tie-break (for example, earliest verified achievement time) determines the single Winner. No Prize is split unless the DePrize Rules expressly provide for it.


10. Verification, Sanctions Screening, Taxes, and Privacy

10.1 Know-your-business verification. MoonDAO (or its service provider) will verify the Winner's legal existence, its representative's authority and identity, and its beneficial owners of 25% or more, and will screen each against applicable sanctions and restricted-party lists before each payment.

10.2 Tax documentation. Before any payment, a Winner that is a U.S. Person must provide IRS Form W-9; any other Winner must provide the applicable IRS Form W-8 (for example, W-8BEN-E) and any documentation MoonDAO reasonably requests to determine withholding. MoonDAO will report and withhold as required by law (including U.S. information reporting on Form 1099 or 1042-S and, where applicable, backup or non-resident withholding) and will value crypto-asset payments at fair market value on the date of payment for those purposes.

10.3 Taxes are the Winner's responsibility. The Prize is taxable income to the Winner in most jurisdictions. The Winner is responsible for all taxes on the Prize other than amounts MoonDAO is required to withhold. MoonDAO provides no tax advice.

10.4 Privacy. Information collected under this Section is processed as described in the DePrize Privacy Notice. The Winner's legal name, the fact of the award, the Prize amount, and the payout address are public by nature of the on-chain record and MoonDAO's announcements.


11. Publicity, Intellectual Property, and Use of Names

11.1 Announcement. MoonDAO may announce the Winner's identity, the Prize amount, and the achievement, and may describe the Winner factually as the winner of the DePrize.

11.2 Winner's marks. By claiming its listing or accepting the Prize, the Winner grants MoonDAO a non-exclusive, royalty-free, worldwide licence to use the Winner's name and approved logo to identify it as a Competitor and, if applicable, as the Winner, in accordance with any reasonable brand guidelines the Winner supplies. The Winner may revoke the logo licence for future materials on thirty (30) days' notice; the factual statement that the Winner won remains permitted.

11.3 No transfer of Winner IP. MoonDAO acquires no right, title, or interest in the Winner's technology, data, or intellectual property by virtue of the DePrize. Any deliverable to MoonDAO (for example, seats on a flight) is governed by the Prize Acceptance Agreement.

11.4 Winner's use of MoonDAO marks. The Winner may state factually that it won the DePrize. Any use of the MoonDAO or DePrize names or logos beyond that requires MoonDAO's written consent (Agreement, Section 17).


12. Withdrawal, Disqualification, and Clawback

12.1 Withdrawal. An Entrant may withdraw from consideration for the Prize at any time by written notice. Withdrawal does not remove the Entrant from a live market's roster (Section 3.5) and does not affect the Market's resolution.

12.2 Disqualification. MoonDAO may disqualify an Entrant from receiving the Prize if the Entrant or its personnel: (a) submitted false or misleading evidence or claim information; (b) breached Section 8; (c) attempted to influence the ERC, the Senate, or the Oracle other than through evidence submitted under Section 7.3; (d) achieved the Resolution Event through conduct that violated Applicable Law; (e) fails Section 4 or Section 10; or (f) engages in conduct that MoonDAO reasonably determines would bring the DePrize program into disrepute. MoonDAO will state its reasons in writing. Disqualification affects Prize eligibility only; it does not alter the Market's resolution once reported.

12.3 Clawback. If, after payment, MoonDAO discovers that a Winner was not eligible or obtained payment through fraud or misrepresentation, the Winner must repay the amounts received within thirty (30) days of demand, and MoonDAO may pursue recovery.


13. Disclaimers and Limitation of Liability

13.1 Prize offered "as is." The Prize is offered subject to these Rules without warranty of any kind. MoonDAO does not warrant that any Prize will be awarded, that the Prize Pool will reach any amount, that the Market will resolve within any time, or that the DePrize will not be cancelled.

13.2 Cancellation. MoonDAO may cancel a DePrize before a Winner is reported for the reasons and with the notice described in the Terms, Section 8. On cancellation no Prize is payable.

13.3 Incorporation. Sections 18 (Indemnification), 19 (Disclaimer of Warranties), and 20 (Limitation of Liability) of the Agreement apply to Entrants and to the Prize as if restated here. To the fullest extent permitted by law, MoonDAO's aggregate liability to any Entrant in connection with a DePrize is limited to the unpaid portion of the Prize to which that Entrant has become entitled under Section 9.

13.4 Release. Each Entrant releases the Covered Parties (including ERC members, Senators, Oracle signers, and Launchpad campaign organizers acting in those capacities) from all claims arising from the listing of any Competitor, the determination of the Winner made in good faith under the published criteria, any cancellation, and any withholding or non-payment under these Rules.


14. Dispute Resolution

14.1 Incorporation. The Dispute Resolution Provisions in Section 25 of the Agreement (New York law; binding AAA arbitration in New York, NY; class-action waiver; thirty-day opt-out) apply to any dispute between an Entrant and MoonDAO relating to a DePrize, these Rules, the DePrize Rules, or a Prize, subject to the Prize Acceptance Agreement where executed.

14.2 Determinations. A challenge to a Winner determination must be raised through the challenge window in Section 7.5. An arbitrator may not order the reversal of an on-chain report or the re-resolution of a Market, and may award only monetary relief subject to Section 13.


15. Changes, Cancellation, and Interpretation

15.1 Changes to these Rules. MoonDAO may amend these Rules with a new version number and date. Amendments do not alter the DePrize Rules, Resolution Event, or Prize-eligibility conditions of a DePrize whose market has opened, except to correct a manifest error disclosed on the Site, or as required by Applicable Law.

15.2 Interpretation. MoonDAO interprets these Rules and the DePrize Rules in good faith and applies them consistently. Headings are for convenience. "Including" means "including without limitation."

15.3 Language. These Rules are drafted in English; the English text controls.

Acknowledgment

By claiming a listing, submitting evidence or a claim, or accepting any Prize payment, the Entrant acknowledges and agrees that:

  1. No purchase or bet is necessary to compete; listing implies no endorsement or affiliation.
  2. The Market resolves on the Resolution Event; the Prize is paid only to a Prize-Eligible Winner that completes verification, sanctions screening, tax documentation, and the Prize Acceptance Agreement within the Claim Window.
  3. The Prize Pool is variable, denominated in ETH, and not guaranteed; the Prize is paid 30% at Milestone 1 and 70% at Milestone 2, and the second tranche is forfeited if Milestone 2 is not completed on time.
  4. The Entrant's personnel may not trade in the Market; Senate and ERC conflicts are disclosed and managed as described in Section 8.
  5. The Senate's determination, once reported by the Oracle, is final and irreversible.
  6. The Entrant is responsible for its own taxes and for the lawfulness of its activities.
  7. Disputes are resolved under New York law by AAA arbitration in New York, NY, with a class-action waiver and a thirty-day opt-out.
